Role Overview
Corporate Specialist at DNV (Det Norske Veritas), supporting the corporate housekeeping function for countries in the Region Middle East and Africa.

Role Purpose
Maintain corporate records and governance compliance for DNV entities across the Middle East and Africa region, coordinating corporate actions, filings, and stakeholder communications to ensure legal and regulatory adherence.
Key Responsibilities
Corporate Records & Compliance
- Maintain and keep information up to date for all assigned Legal Entities in accordance with internal requirements in the corporate digital tool and physical archives when required by law.
- Ensure business licenses are up to date and compliant to the services provided and local law.
- Monitor entity compliance calendar management.
Corporate Filings & Governance
- Coordinate and oversee Corporate Filings with government authorities as required by local law.
- Liaise with shareholders, board members, corporate officers, lawyers, and third-party providers on governance matters.
- Coordinate multi-country governance projects, liquidation implementation support, and legal entity clean-up programmes.
Stakeholder Liaison
- Liaise with Business Analysis stakeholders, GSS internal stakeholders, and finance colleagues where they need specific support on Powers of Attorney, director signatories, and matters related to their roles.
Corporate Actions & Documentation
- Coordinate corporate actions to ensure that necessary corporate actions are taken.
- Facilitate the preparation of corporate documentation including resolutions, notices, minutes from general meetings and board meetings, articles of association, and Powers of Attorney.
- Facilitate and attend board meetings and general meetings where required.
- Coordinate Board Meetings, Annual General Meetings (AGM), and Extraordinary General Meetings when required to formalize certain decisions.
Qualifications & Experience
- Bachelor's degree with Paralegal Certification and/or bachelor's degree in legal studies with a Paralegal Concentration.
- 5 to 10 years in corporate governance, preferably towards Middle East and African subsidiaries of multinational organizations.
- International experience.
