Corporate Lawyer (Saudi Arabia)

Role Overview

Corporate Lawyer (Saudi Arabia) at Agility. Based in the MEA region with primary focus on KSA, supporting the real estate and logistics parks operations team.

Role Purpose

Provide comprehensive legal advice and transactional support across real estate and logistics parks operations. Ensure compliance with applicable laws and regulations, support corporate governance and risk management initiatives, and deliver expert counsel on commercial and corporate matters.

Key Responsibilities

Commercial Contracts

• Draft, review, and negotiate service agreements, licensing arrangements, and consultancy agreements.
• Draft, review, and negotiate Non-Disclosure Agreements (NDAs) and Memoranda of Understanding (MOUs).

Transaction Support and Management

• Coordinate and manage transactions, including mergers and acquisitions (M&A) and joint ventures, throughout their lifecycle.
• Liaise with internal stakeholders and external counsel on transaction matters.
• Assist with due diligence processes and transaction structuring.
• Draft and negotiate share purchase agreements, asset purchase agreements, and shareholders' agreements.
• Draft and negotiate other related transaction documents.

Corporate Structuring & Governance

• Provide expert advice on corporate restructuring.
• Ensure adherence to regulatory requirements for corporate structure and governance.
• Assist with agreements and documents related to company secretarial functions, such as Powers of Attorney (POAs) and resolutions.

Legal Advice & Compliance

• Stay up-to-date with changes in laws and regulations that may impact company operations.
• Proactively advise management on potential legal risks and implications.
• Provide legal advice and support to the company ensuring compliance with applicable laws and regulations.

Legal Research

• Conduct thorough legal research and provide comprehensive support to the legal team.
• Gather and initially review regulations pertaining to rental laws, corporate governance and compliance, and labor laws.
• Research other laws and regulations relevant to operations.

Stakeholder Management

• Communicate and negotiate with external parties including regulators, tenants, and partners.
• Create relations of trust with external stakeholders.

Qualifications & Experience

• LLB in Law.
• Minimum of 6 years of experience obtained at a leading private practice law firm with a strong corporate department.
• Solid foundational training in M&A transactions, joint ventures, and commercial contracts.

Skills & Competencies

• Excellent knowledge and understanding of corporate law and procedures.
• Proficiency in Arabic and English (reading and writing).
• Bilingual proficiency in Arabic and English is essential.
• Demonstrated ability to create legal defensive or proactive strategies.
• Outstanding communication and influencing skills.
• Ability to comprehend influences of the external environment of a corporation and business context, and apply judgment accordingly.
• High degree of professional ethics and integrity.
• Sound judgment and ability to analyze and synthesize situations and information.
