Role Overview

Corporate Secretary at Emirates Investment Authority, Abu Dhabi, United Arab Emirates. This role supports the effective operation of the Board and committees and strengthens governance across the organisation.

Company Overview

Emirates Investment Authority is a sovereign wealth fund seeking to support effective Board governance and strengthen organisational compliance with UAE legal and regulatory requirements.

Role Purpose

The Corporate Secretary advises senior leadership on governance and regulatory matters, manages Board and committee operations, and ensures accurate documentation and compliance with statutory obligations. This is a high-trust position requiring sound governance judgement, exceptional bilingual drafting capability, and discretion in handling sensitive Board matters.

Key Responsibilities

Board and Committee Operations

  • Plan and coordinate Board and committee calendars, agendas, papers and meetings.
  • Ensure decisions and actions are documented and followed through.
  • Manage complex Board processes, senior stakeholders, competing deadlines and highly confidential information with accuracy and sound judgement.

Governance and Compliance

  • Advise the Executive Board Committee and senior management on corporate governance, UAE legal and regulatory requirements and relevant international standards.
  • Support policy development and governance capability-building.
  • Monitor statutory obligations, filings, and governance reporting.
  • Secure Board records and liaise effectively with ministries, regulators, judicial bodies and external advisers.

Documentation and Correspondence

  • Draft precise Board minutes, resolutions, memoranda, policies and formal correspondence in English and Classical/Modern Standard Arabic.

Qualifications & Experience

  • UAE Nationality.
  • Bachelor's degree in Law, Business Administration or a related discipline.
  • At least eight years of relevant experience across corporate secretarial, governance or compliance work.
  • Direct experience serving as a Corporate Secretary or Board Secretary within a sovereign wealth fund, listed company, investment company or financial institution.
  • Strong knowledge of UAE corporate and governance requirements, together with an understanding of international governance principles.

Skills & Competencies

  • Exceptional written Classical/Modern Standard Arabic (الفصحى) drafting proficiency and strong professional English, demonstrated through Board minutes, resolutions, legal or governance documents, translation and formal government correspondence.
  • Proficiency with board-management or governance platforms and Microsoft Office.

Additional Information

  • Eligibility: Only UAE Nationals will be considered for this position.
  • Preferred qualification: An advanced governance qualification from the Chartered Governance Institute (CGI/ICSA), the Institute of Directors (IoD), or an equivalent professional body.
  • Shortlisted candidates should expect a formal Arabic drafting assessment.
